Oufeiguang Group Co., Ltd. and its wholly-owned subsidiary Shenzhen Oufei Innovation Technology Co., Ltd. and its wholly-owned subsidiary Nanchang Oufei Huaguang Technology Co., Ltd. intend to sign the “Capital Increase and Share Expansion Agreement” with Nanchang Gaotou Construction Engineering Co., Ltd., and Oufeiguang Group plans to invest 2.1. 100 million yuan to Nanchang Oufei Huaguang to increase capital; Nanchang Gaotou Building plans to invest 490 million yuan to Nanchang Oufei Huaguang capital; Shenzhen Oufei innovation to abandon this capital increase subscription rights. After the capital increase is completed, the registered capital of Nanchang Oufei Huaguang will increase to RMB 1,014.7 billion, Oufeiguang Group will hold 50.925% of the shares of Nanchang Oufei Huaguang, Nanchang Gaotou Construction will hold 48.928% of the shares of Nanchang Oufei Huaguang, and Shenzhen Oufei Innovation holds Nanchang Ou Fei Huaguang 0.147% of the shares.

The approval authority for this capital increase is within the external investment authority of the board of directors of the company and does not need to be approved by the company's general meeting of shareholders. This capital increase does not involve related party transactions and does not constitute a major asset restructuring as stipulated in the Measures for the Administration of Major Asset Restructuring of Listed Companies.
